  1. This agreement establishes the terms and conditions of membership in "The Step By Step Profit Membership", (herein referred to as 'Membership') provided by Archimedes Lever Inc. and Perfect Spectrum LLC, www.UndercoverProfits.com, www.ClickFlipping.com and provided to a Customer (herein referred to as 'Member'). The Member herby agrees to the following terms and conditions.
  2. Membership consist of access and use of content contained in a members only website that from time to time may contain one or more of the following . Software, training audios, training videos, written materials, membership helpdesk, access to teleconferences, members only Webinars and coaching calls and live seminar admission.
  3. Membership also consists of full access to the Undercover Profits website, software and training and the Click Flipping website, software and training at no additional charge.
  4. Membership also includes admission to all live Click Flipping/Undercover Profits training events that may be held from time to time so long as the member has a current active paid membership at the time the event is held.
  5. Archimedes Lever Inc. and Perfect Spectrum LLC, provides all content, live or recorded, on an as-is basis, and Member agrees to hold harmless Archimedes Lever Inc. and Perfect Spectrum LLC for any information contained in the Membership.
  6. Member agrees to the following payment arrangement for access to the Membership. A new Member is charged $291.00 for the first month of access to the Membership, and $291.00 per month for each month following.
  7. Member understands and agrees that this is a monthly recurring membership and not a one time charge.
  8. The Member may cancel their Membership at any time, without cause at least three days prior to the next billing cycle, and incur no further charges.
  9. Member agrees that it is the members responsibility to initiate any and all cancellations by following the cancellation link contained in the members logged in area of the Click Flipping website at the following login: http://store.clickflipping.com/cmr_login.php
  10. Member understands that billing will appear on the members credit card statement as "ClickFlipping.com"
  11. Member understands and agrees that no cancellation requests will be accepted via phone, fax, or email, and that the only method of cancellation is by selecting the cancellation link located in the members logged in area, or by login in directly at: http://store.clickflipping.com/cmr_login.php
  12. Member agrees that there are no refunds given under any circumstances.
  13. In addition, Member agrees that there are no partial refunds for monthly fees incurred, and that it is the Members responsibility to cancel their Membership prior to the next billing date.
  14. Member agrees that failure to cancel their membership prior to the scheduled re-billing date will not be accepted as a reason for a refund of the current payment and That there are no full or partial/pro-rated refunds for any reason.
  15. Member also agrees that upon cancellation, all access to the Membership will cease on the last day of their current billing cycle, and Archimedes Lever Inc. is not responsible for any lost data that may occur due to cancellation.
  16. Member also agrees that access to the Undercover Profits website will cease on the last day of their current billing cycle, and Archimedes Lever Inc. and Perfect Spectrum LLC are not responsible for any lost data that may occur due to cancellation.
  17. Payment for services to Archimedes Lever Inc. and Perfect Spectrum LLC must be made in US Dollars. Charges for services at Archimedes Lever Inc. and Perfect Spectrum LLC are processed by the Modular Merchant shopping cart system and all charges will appear on members statement as ClickFlipping.com.
  18. It is the Members responsibility to make certain the billing information for their account is kept current. If billing data is not kept current, Access to the Members account will cease on the last day of their current billing cycle.
  19. Member agrees that Archimedes Lever Inc. and Perfect Spectrum LLC has the right to delete Member accounts, and all data associated with Member account, if payment is not received as agreed for any reason.
  20. Member agrees that Archimedes Lever Inc. and Perfect Spectrum LLC are not responsible for over-draft charges that may occur when processing charges against your account. It is the owners responsibility to make certain funds are available to cover the monthly recurring charges.
  21. The Member agrees to waive liability of Archimedes Lever Inc. and Perfect Spectrum LLC, from any claims resulting from misuse of the Membership.
  22. Member agrees to defend, indemnify and hold harmless Archimedes Lever Inc. and Perfect Spectrum LLC, jointly and severally and its affiliated companies, partners, associates, affiliates, employees, and owners from all liabilities, claims and expenses, including attorneys' fees, arising from breach of this Agreement.
  23. Members must adhere to the CAN-SPAM (Bill S. 877 - took effect on January 1, 2004).
  24. Owner agrees that Archimedes Lever Inc. and Perfect Spectrum LLC. shall have the right to Cancel a Membership account at any time. Archimedes Lever Inc. and Perfect Spectrum LLC reserves the right to Cancel Members account due to, but not limited to: non-payment, spam complaints, illegal activities, or non-compliance with this service agreement.
  25. Archimedes Lever Inc. and Perfect Spectrum LLC reserve the right to suspend functionality of the Membership due to, but not limited to: misusing of Membership for illegal or unethical practices, or non-compliance with this service agreement.
  26. Member understands that a valid email address is required by Archimedes Lever Inc. and Perfect Spectrum LLC for this service. Archimedes Lever Inc. and Perfect Spectrum LLC will NOT give your email address to any 3rd party. Any correspondence sent to you comes directly from Archimedes Lever Inc. and Perfect Spectrum LLC and its affiliated companies.
  27. Archimedes Lever Inc. and Perfect Spectrum LLC reserve the right to send periodic promotional offers (via email) to Members.
  28. Archimedes Lever Inc. and Perfect Spectrum LLC DOES NOT WARRANT THAT THE MEMBERSHIP WILL BE ERROR FREE OR UNINTERRUPTED. THE MEMBERSHIP IS DISTRIBUTED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PURPOSE.
  29. Member understands and agrees that Archimedes Lever Inc. and Perfect Spectrum LLC WILL NOT BE RESPONSIBLE FOR ANY LOSSES, DAMAGES OR COSTS THAT YOU AND/OR YOUR BUSINESS MAY SUFFER WHEN USING THE MEMBERSHIP.
  30. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS Archimedes Lever Inc. and Perfect Spectrum LLC FROM ANY CLAIMS RESULTING FROM YOUR USE OF MEMBERSHIP.
  31. MEMBER EXPRESSLY AGREES THAT USE OF MEMBERSHIP IS AT MEMBERS SOLE RISK. NEITHER Archimedes Lever Inc. and Perfect Spectrum LLC. NOR ITS SERVICE PROVIDERS, AGENTS, LICENSORS, EMPLOYEES, AFFILIATES, OWNERS, or PARTNERS, SHALL HAVE ANY LIABILITY FOR ANY DAMAGES SUFFERED BY YOU OR ANY OTHER PARTY AS A RESULT OF THE USE OR MISUSE OF THE MEMBERSHIP.
  32. Should any paragraph of this agreement be considered illegal, invalid, or unenforceable by a court of law, the legality, validity and enforceability of the remaining paragraphs of this agreement shall remain unaffected thereby unless otherwise stated.
  33. This service agreement is governed by the laws of the state of Texas and of the United States of America.
  34. These Terms and Conditions supersede all previous written, verbal or implied provisions. Use of Archimedes Lever Inc. and Perfect Spectrum LLC Membership constitutes acceptance of these Terms and Conditions.
  35. Archimedes Lever Inc. and Perfect Spectrum LLC reserve the right to make changes and amendments to these terms and conditions at any time. Archimedes Lever Inc. and Perfect Spectrum LLC. agree to notify account owners of any changes or amendments by email OR by posting changes on this page.
  36. It is the members responsibility to remain aware of all changes by visiting this page located at http://www.clickflipping.com/terms.php
